1. Acceptance of Terms

By engaging INDIGITECHUB for any services, you agree to be bound by these Terms of Service. These terms govern all projects, services, and engagements between INDIGITECHUB ("we," "our," or "us") and the client ("you," "your," or "client"). If you do not agree to these terms, please do not engage our services.

These terms, along with the signed proposal and any project specifications, constitute the complete agreement between the parties. Any modifications to these terms must be agreed upon in writing by both parties.

2. Services Provided

INDIGITECHUB provides professional IT services including but not limited to:

  • Web Development: Custom website development, e-commerce solutions, web applications, CMS development, and website maintenance
  • Mobile App Development: iOS and Android native apps, cross-platform applications using React Native and Flutter
  • Digital Marketing: SEO services, Google Ads management, social media marketing, content marketing, and analytics
  • Custom Software Development: ERP systems, CRM solutions, inventory management, business automation, and enterprise software
  • UI/UX Design: User research, wireframing, visual design, prototyping, and design systems

The specific scope of services for your project will be defined in a detailed proposal and statement of work.

3. Project Engagement Process

3.1 Proposal and Agreement

Every project begins with a detailed proposal outlining the scope, timeline, deliverables, and pricing. Upon your acceptance of the proposal (indicated by signing or payment of the first milestone), these Terms of Service are deemed accepted and the project begins.

3.2 Discovery and Requirements

For custom projects, we conduct a discovery phase to fully understand your requirements. This may include stakeholder interviews, existing system analysis, and requirements documentation. The output of this phase forms the detailed project specifications.

3.3 Development and Delivery

Projects are typically delivered in phases or sprints with regular demos and opportunities for feedback. You will have opportunities to review work and provide feedback before final acceptance.

3.4 Acceptance

Upon delivery of the final product, you will have a defined period (usually 5-7 business days) to review and test the deliverables. The project is deemed accepted if no significant issues are reported within this period, or upon your explicit written acceptance.

4. Payment Terms

Standard Payment Structure

Most projects follow a milestone-based payment structure: 30% project initiation, 30% upon design approval or mid-project milestone, 20% upon development completion, and 20% upon final delivery and acceptance.

4.1 Payment Schedule

  • Project Initiation: 30% of total project value due before work begins
  • Design/Milestone Approval: 30% due upon approval of design phase or mid-project milestone
  • Development Completion: 20% due upon completion of development phase
  • Final Delivery: 20% due upon project completion and acceptance

4.2 Payment Terms

  • Payments are due within 14 days of invoice date
  • Late payments may incur interest at 1.5% per month
  • For projects exceeding Rs 5,00,000, custom payment schedules may be arranged
  • International clients may use wire transfer or PayPal

4.3 Additional Costs

Additional costs may apply for: scope changes after approval, additional features not in original scope, third-party licenses or subscriptions, hosting and domain costs, and urgent/rush delivery requests.

5. Project Timelines

5.1 Estimated Timelines

Project timelines provided in proposals are estimates based on the defined scope. While we strive to meet agreed deadlines, actual delivery may vary based on factors including feedback turnaround, scope clarity, and testing outcomes.

5.2 Timeline Adjustments

  • Timelines may be extended for scope changes requested by the client
  • Client delays in providing feedback or approvals may pause the timeline
  • Emergency changes or additions may require timeline extension
  • We will communicate promptly about any timeline impacts

5.3 Rush Delivery

Rush delivery options may be available with a premium of 25-50% depending on the urgency and current workload. Rush delivery is subject to availability and our team's capacity.

6. Intellectual Property

6.1 Client Rights

Upon receipt of full payment, the client retains full intellectual property rights to:

  • Custom code developed specifically for the client's project
  • Design files and assets created exclusively for the project
  • Content and copy written for the client
  • Any third-party work assigned to the client per licensing terms

6.2 INDIGITECHUB Rights

  • We retain rights to general methodologies, frameworks, and reusable components
  • We retain rights to pre-existing libraries, tools, and code we've developed
  • We may use completed projects in our portfolio (with client permission) unless NDA applies
  • We may reference client relationship without disclosing confidential information

6.3 Third-Party Components

Third-party components (fonts, plugins, stock assets, APIs) retain their respective license terms. We will document all third-party components used and their licensing implications.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information exchanged during the engagement. This includes business processes, technical specifications, pricing, and any information marked as confidential.

This confidentiality obligation survives the termination of our engagement and continues indefinitely. Confidential information does not include information that becomes publicly available through no fault of the receiving party.

We are happy to sign separate Non-Disclosure Agreements (NDAs) if required by your organization's policies.

8. Warranties and Support

8.1 Development Warranty

INDIGITECHUB warrants that all deliverables will be free from significant defects in workmanship for a period of 30 days following acceptance. This warranty covers bug fixes for issues directly attributable to our work.

8.2 Exclusions

The warranty does not cover: issues caused by client modifications, third-party integrations failing, changes in platform requirements (iOS/Android updates), or minor cosmetic issues that don't affect functionality.

8.3 Post-Launch Support

Post-launch support is available at additional cost. Support packages include:

  • Basic Support (Rs 3,000/month): Bug fixes, email support, 48-hour response time
  • Standard Support (Rs 8,000/month): Bug fixes, priority support, 24-hour response, monthly updates
  • Enterprise Support (Rs 25,000/month): 24/7 support, dedicated account manager, quarterly reviews

9. Limitation of Liability

INDIGITECHUB's total liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific project in question. We shall not be liable for indirect, consequential, or punitive damages including lost profits, lost data, or business interruption.

This limitation applies regardless of the form of action, whether in contract, tort, or otherwise, and even if we have been advised of the possibility of such damages.

10. Termination

10.1 Termination by Client

The client may terminate the engagement with 14 days written notice. Upon termination:

  • Work completed up to the termination date will be invoiced
  • Any pre-paid fees for unstarted work will be refunded
  • Deliverables completed and paid for will be provided to the client
  • Partial work may be delivered at our discretion

10.2 Termination by INDIGITECHUB

We may terminate the engagement if:

  • Payment is overdue by more than 30 days
  • Client fails to provide required feedback within 30 days
  • Client demands work outside the agreed scope without additional payment
  • Client behavior is unprofessional or abusive toward our team

10.3 Effect of Termination

Upon termination, both parties must return or destroy confidential information. All outstanding invoices become immediately due. Rights to work product are governed by the payment status at termination.

11. Scope Changes and Change Requests

Changes to the project scope after agreement may require additional cost and timeline adjustments. We handle scope changes as follows:

  • Minor changes (under 8 hours) may be accommodated within the existing budget
  • Significant changes require a formal change request with cost and timeline impact
  • Changes are documented and agreed upon in writing before implementation
  • We provide estimates for change requests within 2-3 business days

12. Dispute Resolution

In the event of any dispute arising from this engagement:

  • First step: Direct negotiation between parties to resolve the issue
  • Second step: Mediation with a mutually agreed neutral third party
  • Third step: Binding arbitration under Indian law

All disputes not resolved through negotiation or mediation shall be subject to the exclusive jurisdiction of the courts in Indore, Madhya Pradesh, India.
